1. Introduction

Welcome to ars0n (the "Service"), an AI-powered platform for generating user-generated-content-style video advertisements, operated by Flayr Labs ("Company," "we," "us," or "our"). By accessing or using the Service at ars0n.ai, including its API, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Service. These Terms are a legally binding agreement between you and Flayr Labs. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to it.

2. What the Service Does

ars0n generates video and audio advertisements using third-party artificial intelligence models, including image generation and editing, video generation, voice synthesis, and lip-sync technologies. You provide inputs such as product images, product page links, and scripts; the Service produces finished ad content from them.

Generated ads may feature synthetic AI "creators" and avatars with synthesized voices. These are entirely computer-generated: no real person appears in, records, or endorses the content produced by the Service. You acknowledge that the on-screen presenters and voices in generated content are artificial.

3. Accounts and Teams

To use the Service you must create an account with a valid email address, which must be verified before use. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us promptly at support@ars0n.ai if you suspect unauthorized use.

The Service is organized around organization workspaces. You may invite teammates to your organization; members share access to the organization's projects, assets, credits, and billing. The organization owner is responsible for the actions of its members within the workspace. You agree to provide accurate registration information and keep it up to date.

4. Plans, Billing, and Payments

Paid access is offered through monthly subscription plans — Starter ($19/month), Growth ($49/month), and Pro ($99/month) — plus optional one-time credit packs and API credit packs, both available to Pro subscribers. Current pricing and what each plan includes are shown on our pricing page.

  • Auto-renewal: Subscriptions renew automatically each month until cancelled. You can cancel at any time through your billing settings or the Stripe customer portal; cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Payment processing: All payments are processed by Stripe. We never receive or store your full card number.
  • Taxes: Prices are in US Dollars and exclusive of applicable taxes, which are added where required by law.
  • Price changes:We may change pricing with at least 30 days' notice; changes apply from your next billing cycle.
  • Failed payments: may result in suspension of paid features until payment is resolved.

5. Credits

Generation features consume credits, which are prepaid usage units. The exact credit price of a generation is always shown to you before it is charged.

  • Expiry: Purchased credits — including your monthly subscription grant and any credit packs — expire 30 days after purchase. A fresh batch of credits is granted with each subscription renewal. Bonus or support credits we grant you do not expire.
  • Not money: Credits are not money or property, have no cash value, are non-transferable between organizations, and cannot be redeemed or exchanged for cash.
  • Failed generations: If a generation fails due to a system error, the credits it consumed are automatically refunded to your account.

6. Refunds

Credits consumed by failed generations are automatically refunded to your account balance. Beyond that, fees and credit purchases are non-refundable except where a refund is required by applicable law. Credits are not refunded for generations that complete successfully but produce results you are unsatisfied with — the Service provides regeneration and retry tools for that purpose, and the exact price is always shown before a generation is charged.

7. Your Content and Generated Ads

Your uploads:You retain ownership of the images, links, scripts, and other materials you provide ("User Content"). You represent that you have all rights needed to upload them and to have them used to generate advertisements — including rights in any product imagery, trademarks, and text.

Generated content: As between you and us, you own the ads generated from your inputs, subject to your compliance with these Terms. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and transform your User Content and generated content as needed to operate and provide the Service.

Your responsibility: You are solely responsible for how you use generated ads, including reviewing them before publication and complying with advertising laws, ad-platform policies, and rules on disclosing AI-generated or synthetic content in your jurisdiction (for example, marking synthetic media where a platform or law requires it). Generated presenters are synthetic; do not present them as real customers or endorsers where doing so would be deceptive.

Moderation: Automated content moderation runs on both your inputs and generated outputs, and may block content including drug-related, sexual, violent, or hateful material. We may remove content or suspend accounts that violate these Terms.

8. Prohibited Uses

You agree not to use the Service to:

  • Create or distribute content that is illegal or that promotes illegal activity.
  • Infringe the intellectual property, privacy, publicity, or other rights of any third party.
  • Impersonate a real person or create deepfakes of identifiable people, including using someone's likeness or voice without authorization.
  • Make deceptive, misleading, or fraudulent claims, including fake testimonials presented as coming from real people.
  • Attempt to bypass, probe, or defeat our content moderation systems.
  • Abuse the API or the platform, including circumventing rate limits, concurrency limits, or usage restrictions.
  • Resell, sublicense, or share access to the Service without our written consent.
  • Reverse engineer, decompile, or disassemble any part of the Service.

9. API Terms

Paid plans may include access to the ars0n API. API keys are scoped to your organization and must be kept secret — do not embed them in client-side code or share them outside your organization. You are responsible for all usage under your keys.

API usage is subject to rate limits and concurrency limits that vary by tier. We may throttle, suspend, or revoke API access for abuse, excessive load, or violation of these Terms. You can revoke and rotate your own keys at any time from your settings.

10. AI Output and Service Quality

AI generation is probabilistic. Outputs vary between runs and may contain errors, artifacts, or results that differ from what you expected. We provide regeneration and retry tools, but we do not guarantee that any generation will achieve a specific aesthetic or commercial result.

You are responsible for reviewing and approving all generated content before using it. We do not guarantee uninterrupted availability of the Service, and self-serve plans do not include a service-level agreement (SLA).

11. Our Intellectual Property

The Service — including its software, design, user interface, documentation, and all related intellectual property — is owned by Flayr Labs and protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements. We may use anonymized, aggregated usage data to improve the Service.

12. Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, send a takedown notice to legal@ars0n.ai including: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner; and (f) your physical or electronic signature. We may remove reported content and terminate repeat infringers.

13. Termination

We may suspend or terminate your account and access to the Service at any time for violation of these Terms, fraudulent or abusive activity, or where required by law. You may stop using the Service and cancel your subscription at any time through your billing settings, and may request account deletion by contacting support@ars0n.ai.

Upon termination your right to use the Service ends, and any unused credits are forfeited except where a refund is required by law. Sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED CONTENT WILL MEET YOUR REQUIREMENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLAYR LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless Flayr Labs and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service or of content generated through it.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any User Content you upload or provide to the Service.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

We may update these Terms from time to time. We will give notice of changes by email or through a notice on the Service, and your continued use after a change takes effect constitutes acceptance. For material changes, we will ask you to review and re-accept the updated Terms in the app — acceptance is versioned, so you always know which version you agreed to. The "Effective Date" above indicates when these Terms were last updated.
